Vretta Inc. (also referred to as “Vretta”, “we”, “us” or “our”) and its affiliated entities provide their services and products to you subject to the following Terms and Conditions. Please read them carefully before using Vretta’s website (also referred to as “site”) as they contain the legal terms that govern your use of the site. By accessing or using the site, you agree, without limitation, to be bound by all the provisions contained herein.

If you do not accept these Terms and Conditions, you may not use the site. We reserve the right to change these Terms and Conditions from time to time and without notice. Please check periodically for any modificationsto the Terms and Conditions. Your continueduse of the site following the posting of any modifications to these Terms and Conditions will mean that you accept the implemented changes.

Ownership

All content on the site including designs, logos, text, graphics, pictures, software, artwork, video, sound and other files are the property of Vretta and are protected by copyright, trade-mark, and intellectual property laws. Users are granted absolutely no rights or licenses to the site other than the limited right to use the site in accordance with the Terms and Conditions specified herein.

Terms of Use

Users are permitted to download or print a copy of any portion of the site’s content to which they have properly gained access, but solely for their personal and non-commercial use. In doing so, users must abide by all copyright and other proprietary notices.

Users shall not, without Vretta’s prior written permission modify, distribute, republish, repost, transmit or otherwise exploit any of the content maintained on this site for commercial purposes. Further, users may not frame the site or any part thereof on any internet website.

USER ACCESS TO ONLINE LEARNING AND TESTING PROGRAMS

Once a user has purchased access to Vretta’s online learning and testing program(s), they will be granted a license to access and utilize the learning and testing materials. This license cannot be transferred and can only be used by one user. Vretta retains the title and other proprietary rights in relation to any content maintained on its site.

Termination of User License

A license is only valid for a limited period of time. The time period that the license is valid for will be specified at the time of the purchase. Vretta reserves the right to terminate the license if the user violates any of the Terms and Conditions specified herein.

User Content Posted on the Site

Users may have the ability to upload, post, transmit, share, store or otherwise make available content in the public area(s) of the site, such as a chat-room or a discussion forum. Such postings express the views of the author and Vretta is under no obligation to screen, review or delete posted material prior to it becoming visible to other users. Vretta has no control over and is not liable for the content of any material posted by users.

The materials that users wishto post on the site:

  • shall not infringe any copyright or other proprietary notices;
  • shall not contain any viruses or other contaminating components;
  • shall not violate these Terms and Conditions or the Privacy Statement;
  • shall not be offensive, illegal or infringe the rights of others; and
  • shall not solicit unlawful conduct or constitute commercial solicitation.

Vretta reserves the right to review the site and may edit, delete, or remove any user posted content, at any time and without notice, if it violates, pursuant to Vretta’s sole judgment, any of the provisions outlined in these Terms and Conditions.

Indemnification

You agree to defend, indemnify, and hold harmless Vretta, its Board of Directors, officers, affiliates, employees and agents from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with any user posted content, your use of the site, your conduct in connection with the site, or your breach of any of the Terms and Conditions.

SUBSCRIPTION PURCHASES

All purchases of access codes made on this website represent prepayments of subscriptions to our content. Should you purchase an access code and later decide to cancel that purchase, your payment will be refunded as long as you have not used any of the materials and as long as it is within 30 days of the purchase. You may be removed from our system without notice upon losing access through refund or exhaustion of your access period (generally 4 months,unless otherwise specified). All refunds are subject to a 10% administrative fee.

Subscription to your content will not terminate with the end of the semester. You maycontinue to access your eTextbook through your Intromath account indefinitely. If you access the online resources through direct integration with your institutes’ LMS (Learning Management System) and your institutes’ account is terminated, you may contact us at support@vretta.com and we will provide you with alternative access to your Intromath account.

GENERAL PROVISION

The above stated Terms and Conditions represent a binding agreement between you and Vretta, which relates to your use of the site and other products and services offered by Vretta.

Please note that our failure to enforce strict performance of any provision of these Terms and Conditions does not constitute a waiver of such provision. If any provision of this agreement is deemed void or unenforceable, then that provision shall be deemed severable from this agreement and the remainder of the agreement shall continue to be in full force and effect.
